Terms of Service

By accessing or using SmileRep (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and SmileRep. If you are using the Service on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

SmileRep is an AI-powered reputation management platform designed for dental practices. The Service allows users to:

• Connect their Google Business Profile to monitor incoming reviews
• Receive AI-generated draft replies to patient reviews
• Automatically post approved responses to Google reviews
• Receive instant alerts for negative reviews via SMS and email
• View reputation analytics and monthly reporting

SmileRep is a software-as-a-service (SaaS) product. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

You must be at least 18 years of age to use SmileRep. The Service is intended for licensed dental professionals and practice administrators operating within the United States. By using SmileRep, you confirm that you meet these eligibility requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete information when creating your account
• Notify us immediately of any unauthorized use of your account
• Not share your login credentials with unauthorized third parties
• Keep your contact information up to date

SmileRep is not liable for any loss or damage arising from your failure to protect your account credentials.

SmileRep's integration with Google services is subject to the Google Terms of Service and the Google API Services User Data Policy. You are responsible for ensuring your use of Google Business Profile complies with Google's own policies.

You may disconnect SmileRep's access to your Google account at any time through your Google Account settings. Disconnecting will suspend the Service's ability to retrieve or respond to reviews.

You agree not to use SmileRep to:

• Post false, misleading, or fabricated review responses
• Violate any applicable law or regulation, including HIPAA patient privacy rules
• Harass, defame, or discriminate against any individual
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to any part of the Service
• Violate Google's review policies
• Reverse engineer, decompile, or disassemble any portion of the platform

We reserve the right to suspend or terminate accounts that violate these standards, without refund.

SmileRep uses artificial intelligence to draft review responses. You acknowledge and agree that:

• All AI-generated responses are drafts and should be reviewed before posting
• You are solely responsible for the content of any response posted to your Google Business Profile
• SmileRep does not guarantee the accuracy, appropriateness, or compliance of any AI-generated content
• You must not post responses that violate HIPAA or disclose any protected health information (PHI)

SmileRep holds all responses under 4 stars for your manual review and approval before posting. You should not approve any response you have not personally reviewed.

SmileRep charges a flat monthly subscription fee per Google Business location. Current pricing is listed at usesmilerep.com. By subscribing, you authorize us to charge your payment method on a recurring monthly basis.

• All fees are in US dollars and are non-refundable except as required by law
• We reserve the right to change pricing with at least 30 days' written notice
• Failure to pay may result in suspension or termination of your account

You may cancel your SmileRep subscription at any time. Cancellation takes effect at the end of your current billing period, after which you will lose access to the Service. We do not provide prorated refunds for partial months.

SmileRep reserves the right to suspend or terminate your account at any time for violation of these Terms, with or without notice. Upon termination, your data will be deleted in accordance with our Privacy Policy.

All content, features, and functionality of the SmileRep platform — including its design, software, logos, and text — are the exclusive property of SmileRep and are protected by applicable intellectual property laws.

You retain ownership of any content you provide to the platform. By using the Service, you grant SmileRep a limited, non-exclusive license to use this content solely to provide and improve the Service.

SmileRep is provided on an "as is" and "as available" basis without warranties of any kind. We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• AI-generated content will be accurate or appropriate for your situation
• The Service will meet your specific requirements
• Any defects or errors will be corrected

Your use of the Service is entirely at your own risk.

To the fullest extent permitted by law, SmileRep shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of revenue, reputation, or business opportunities
• Errors in AI-generated review responses
• Unauthorized access to your account or data
• Interruptions or unavailability of the Service

Our total liability shall not exceed the amount you paid to SmileRep in the three months preceding the claim.

These Terms shall be governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Collier County, Florida, and you consent to the exclusive jurisdiction of those courts.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice within the application, and update the "Last updated" date at the top of this page.

Your continued use of SmileRep after any changes constitutes your acceptance of the updated Terms.
